General Terms and Conditions (AGB)

These General Terms and Conditions (GTC) apply to all contracts concluded between a consumer or a business entity, hereinafter referred to as the “Customer”, and PrimoRhein [Insert Full Legal Company Name, e.g., PrimoRhein GmbH], represented by [Insert Name of Managing Director/Owner], Address: [Insert Corporate Street, Postal Code and City], Germany, hereinafter referred to as the “Provider”.

1. SUBJECT MATTER OF THE CONTRACT

This contract regulates the sale of new goods from the range of products presented by the Provider in their online store. For details of the respective offers, reference is made to the product description on the respective offer page.

2. CONCLUSION OF THE CONTRACT

The contract is concluded exclusively in electronic commerce via the shop system. The products displayed on the website represent a non-binding invitation to submit an offer by the Customer, which the Provider can then accept. The ordering process for the conclusion of the contract includes the following steps in the shop system:

  1. Selection of the offer in the desired specification (quantity).

  2. Placing the offer into the shopping cart.

  3. Clicking the ‘Proceed to Checkout’ button.

  4. Entering the billing and delivery address.

  5. Selection of the payment method.

  6. Review and editing of the order and all inputs.

  7. Clicking the button to place the binding order (Order with obligation to pay).

  8. Receiving a confirmation email stating that the order has been received.

The contract is legally concluded upon sending the order confirmation.

3. PRICES, SHIPPING COSTS, AND RETURN COSTS

All prices are final prices and include the statutory value-added tax (VAT). In addition to the final prices, further shipping costs may apply depending on the shipping method, which will be displayed before the order is dispatched. If a right of withdrawal exists and is exercised, the Customer shall bear the direct costs of the return shipment if they are located outside of Germany.

For deliveries to countries outside the European Union, additional costs may arise in individual cases for which the Seller is not responsible and which are to be borne by the Customer. These include, for example, costs for money transfer by credit institutions (e.g., transfer fees, exchange rate fees) or import duties or taxes (e.g., customs duties).

4. PAYMENT TERMS

The Customer has exclusively the following options for payment: advance payment (bank transfer), instant bank transfer (Sofort), credit card, or direct debit via Klarna or PayPal. Other payment methods are not offered and will be rejected.

The invoice amount must be transferred in advance to the account specified on the invoice, which contains all the details for the bank transfer and is sent by email. When using an escrow service or payment service provider, this enables the Provider and Customer to process the payment between themselves, where the service provider forwards the Customer’s payment to the Provider.

The invoice amount can also be paid in cash at the Provider’s business premises during normal office hours, deducting the shipping costs incurred. When paying by credit card, the Customer must be the cardholder; the credit card will be charged after the goods are dispatched. The Customer is obliged to pay or transfer the stated amount to the account specified on the invoice within 3 days of receiving the invoice. Payment is due from the invoice date without deduction. The Customer shall only be in default after a formal payment reminder (Mahnung).

5. DELIVERY CONDITIONS

The delivery time is approximately 3-4 working days within Germany, unless otherwise stated in the item description. The Provider ships the order from their own warehouse as soon as the entire order is in stock. The Customer will be informed immediately of any delays.

6. RETENTION OF TITLE

If the Provider makes advance deliveries, they reserve ownership of the delivered goods until full payment of the purchase price owed has been made.

7. LIABILITY FOR DEFECTS (WARRANTY)

If the purchased item is defective, the regulations of statutory liability for defects shall apply. The Customer is requested to complain to the delivery agent about delivered goods with obvious transport damage and to inform the Provider of this. Failure to do so has no effect on their statutory or contractual claims for defects.

8. RIGHT OF WITHDRAWAL AND CUSTOMER SERVICE

Consumers are generally entitled to a right of withdrawal. Further details can be found in the Provider’s cancellation policy. The right of withdrawal does not apply to consumers who do not belong to a member state of the European Union at the time the contract is concluded and whose sole residence and delivery address are outside the European Union at the time the contract is concluded.

9. LIABILITY

The Provider is fully liable in cases of intent, injury to life, body, or health, as well as the assumption of a guarantee. The same applies to liability under the Product Liability Act. In the event of a breach of essential contractual obligations, the fulfillment of which enables the proper execution of the contract in the first place and on compliance with which the contractual partner may regularly rely (cardinal obligations), liability in cases of simple negligence is limited in amount to the damage foreseeable at the time of the conclusion of the contract, the occurrence of which must typically be expected. Otherwise, the liability of the Provider is excluded.

10. PROHIBITION OF ASSIGNMENT

Claims of the Customer against the Provider may not be assigned without their consent, unless the Customer has proven a legitimate interest in the assignment.

11. LANGUAGE, JURISDICTION, AND APPLICABLE LAW

The law of the Federal Republic of Germany shall apply exclusively, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, this applies only insofar as no statutory regulations of the state in which the Customer has their residence or habitual abode are restricted thereby.

12. DATA PROTECTION

In connection with the initiation, conclusion, execution, and reversal of a purchase contract on the basis of these Terms and Conditions, data is collected, stored, and processed by the Provider within the framework of statutory provisions. The Provider does not pass on any personal data of the Customer to third parties unless they are legally obliged to do so or the Customer has expressly consented beforehand.

The data provided by the Customer by way of the order will be processed exclusively for communication within the framework of contract execution. The data will only be passed on to the shipping company handling the delivery as necessary. Payment data will be forwarded to the credit institution commissioned with the payment. Storage of some data may last up to ten years due to commercial and tax law retention periods.
